1. Agreement to these Terms
These Terms of Service (“Terms”) are a legally binding agreement between you and SawItOn (“SawItOn,” “we,” “us,” or “our”) governing access to and use of the websites, applications, and services available at https://sawiton.ai (the “Service”).
By creating an account, clicking to accept, signing a campaign contract, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
If you do not agree, do not use the Service. We may update these Terms from time to time. The “Last updated” date will change. Material changes will be posted on this page or emailed to the address on your account. Continued use after the effective date of a change constitutes acceptance of the revised Terms.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. The Service is not directed to children. You must provide accurate registration information and keep it current.
Access is passwordless: we email a one-time login link to the address you provide. You are responsible for that inbox and for activity on your account. Notify us promptly at legal@sawiton.ai if you believe an unauthorized person used your account. We may refuse, suspend, or close accounts that violate these Terms or that we reasonably believe present risk of fraud, abuse, or legal exposure.
Advertisers complete workspace onboarding (business name, product or service, and related details). Creators complete a profile (channel name, contact details, and social links) and must confirm listed contact information before signing campaign contracts. Platform administrators are designated by SawItOn.
Advertisers and creators may generate personal agent tokens to connect an AI client via the Model Context Protocol (MCP) at /api/mcp. A token authenticates as your account and can take the same actions you can take in the Service, except steps that require a browser (electronic signatures, Stripe Checkout or Connect onboarding, and social-network OAuth). You are responsible for every action taken with a token you issued, for storing it like a password, and for revoking it if it is lost or disclosed. We store a one-way hash of the token, not the secret itself. Platform administrators and the platform AI key are not available through MCP.
3. Marketplace roles
The Service is a multi-tenant marketplace. Advertisers (small businesses and their teammates) create campaigns, discover and award creators, sign contracts, track attribution, and pay subscription and campaign invoices. Creators (influencers and content producers) join free, accept deals, post content, connect social accounts and Stripe, and claim payouts. Platform administrators operate the Service, including the single app-level AI configuration used for discovery, campaign copy, and scoring.
SawItOn is a technology platform. Except where we expressly say otherwise, we are not a party to the influencer services agreement between an advertiser and a creator, we do not employ creators, and we do not guarantee that any campaign will meet a performance target.
4. Advertiser subscriptions and trial
New advertiser workspaces receive a 30-day trial at no subscription charge. After the trial, the subscription is USD $500 per month for the first advertiser seat and USD $100 per month for each additional advertiser seat on that workspace. Creators are not charged a seat fee.
Subscription fees are billed in advance through Stripe. Campaign budgets are invoiced separately when a campaign is closed out and are charged to the payment method on file. Taxes may be added where required by law. Unless required by law, subscription fees are non-refundable, including for unused trial remainder after you subscribe, unused seats, or unused campaign time.
You authorize us and Stripe to charge the payment method you provide for subscription renewals and campaign invoices. If a charge fails, we may suspend campaign features until the balance is paid. You may update payment details in Billing. Downgrades and seat changes take effect as reflected in the workspace billing page and Stripe customer portal where available.
5. Campaigns, awards, and close-out
Advertisers set campaign briefs, budgets, dates, destination URLs, and attribution mode (referral URL, impression/view analysis, or both). Suggested contract terms may be overridden before both parties sign. An advertiser may revoke an award and void the related agreement at any time before the contract start date, provided the campaign has not been invoiced; no creator payout is due in that case.
After the contract term begins, close-out invoices the full campaign budget, notifies both parties, and charges the advertiser. Early close-out after the start date does not reduce the amount owed to the creator. The creator claims payout to a connected Stripe account after close-out, subject to the claim requirements in the Service (including a signed contract, confirmed contact details, Stripe Connect, and working social attribution access for submitted creative URLs).
Test campaigns follow the same legal and payment workflow as other campaigns. Advertisers are responsible for the lawfulness of their products, claims, targeting, and disclosures they require creators to make.
6. Electronic signatures and records
You consent to do business electronically. Campaign contracts may be signed through the Service. You agree that electronic signatures, records, and hashes of generated PDFs satisfy the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA) as adopted in applicable states, and similar laws, to the extent they apply.
You are responsible for downloading or retaining copies of signed contracts. Withdrawal of electronic-consent may require closing your account; it does not void contracts already signed.
7. Payments, Stripe, and payouts
Stripe, Inc. and its affiliates (“Stripe”) process subscription charges, campaign invoices, and creator payouts (including Stripe Connect). Your use of Stripe is subject to Stripe’s terms and privacy notice. We do not store full payment-card numbers. Stripe may deduct its processing fees as described in the campaign contract and Stripe’s documentation.
Creators must complete Stripe Connect onboarding and keep payout details accurate. Payout timing after a valid claim depends on Stripe, banking networks, and fraud reviews. We may delay, withhold, or reverse payouts when we reasonably believe there is a dispute, chargeback, legal hold, or Terms violation.
8. Referral links, attribution, and AI
Referral URLs use the form https://sawiton.ai/[channel] and redirect to the advertiser’s destination URL. Click events may store a hashed network address and truncated user-agent for fraud prevention and reporting.
Creators may connect social accounts (including YouTube, Instagram, TikTok, X, Facebook, LinkedIn, and Twitch) so the Service can read performance metrics for ads they submit. Hosted vision and audio models may analyze submitted creative URLs to estimate sponsor moments, watch time, and related signals. Those model outputs are directional estimates, not audited ratings, certified view counts, or guarantees of delivery, brand safety, or return on ad spend.
Discovery rankings, drafted scripts and keywords, and scoring use platform-configured machine-learning systems. Outputs can be wrong, incomplete, or biased. You must review them before relying on them in a contract or public post. You remain responsible for FTC and similar endorsement-disclosure rules, platform community guidelines, and intellectual-property clearance of content you publish.
9. Your content and licenses
You retain ownership of content you submit (briefs, assets, profile information, creative URLs, comments, and feedback). You grant SawItOn a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create operational copies of that content solely to provide, secure, and improve the Service, including running attribution analysis and generating contracts.
You represent that you have all rights needed to grant this license and that your content does not infringe others’ rights or violate law. Feedback you submit may be used by us without restriction or compensation.
We and our licensors own the Service, including software, trademarks (including SawItOn and sawiton.ai), and documentation. We grant you a limited, revocable, non-transferable license to use the Service as permitted in these Terms. You may not scrape, reverse engineer (except where prohibited restrictions are unenforceable), resell, or interfere with the Service.
10. Third-party platforms
Social networks, Stripe, email delivery, AI model providers, and hosted inference providers are third parties. Their terms govern your accounts with them. We are not responsible for outages, API changes, revoked tokens, or content removal on those platforms. You may disconnect social accounts in the Service; residual copies may remain in backups for a limited period as described in the Privacy Policy.
11. Acceptable use
You will not, and will not allow others to:
- Use the Service for unlawful advertising, fraud, money laundering, or sanctions evasion.
- Upload malware, scrape accounts, or attempt to access another tenant’s data.
- Misrepresent identity, subscriber counts, engagement, or that a post was an ad when it was not.
- Buy or sell fake engagement, or manipulate attribution events (including self-clicking referral links to inflate metrics).
- Post or request content that is illegal, exploitative of minors, or that infringes IP or privacy rights.
- Use the Service to send spam or to harvest personal data without a lawful basis.
12. Confidentiality
Campaign briefs, unpublished assets, contract drafts, and non-public metrics are confidential. You will use them only to perform the relevant campaign and will not disclose them except to personnel or professional advisors under equivalent duties, or as required by law. This duty does not apply to information that is public through no fault of yours or that you already lawfully knew.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ATTRIBUTION, AI OUTPUTS, OR RANKINGS WILL BE ACCURATE OR COMPLETE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAWITON AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, OR TO YOUR PAYMENT OBLIGATIONS FOR SUBSCRIPTIONS AND CAMPAIGN INVOICES.
15. Indemnification
You will defend, indemnify, and hold harmless SawItOn and its personnel from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your content, your campaigns or posts, your breach of these Terms, or your violation of law or third-party rights, except to the extent caused by our willful misconduct.
16. Term, suspension, and termination
These Terms apply until your account is closed. You may stop using the Service at any time. We may suspend or terminate access immediately for violation of these Terms, non-payment, legal risk, or prolonged inactivity. Sections that by their nature should survive (including 7–15 and 17–19) survive termination. We may retain records as required for tax, dispute, and legal compliance.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, except that the Federal Arbitration Act governs interpretation and enforcement of this arbitration agreement. If you are a consumer in a jurisdiction that does not allow this choice of law, mandatory consumer-protection rules of your place of residence still apply.
Informal resolution. Before filing a claim, you agree to email legal@sawiton.ai a brief description of the dispute and to try to resolve it in good faith for 30 days.
Binding arbitration. Except for small-claims court and the injunctive relief described below, any dispute arising out of these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules (or Consumer Rules if they apply to you). The seat of arbitration is Wilmington, Delaware, unless you and we agree otherwise. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. You and SawItOn may bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding, to the extent permitted by law.
Opt out. You may opt out of arbitration and the class waiver by emailing legal@sawiton.ai within 30 days of first accepting these Terms, with your name, account email, and a clear statement that you opt out.
Either party may seek temporary or injunctive relief in court to protect intellectual property or confidential information, or to stop unauthorized access to the Service, without waiving arbitration of other claims.
18. Miscellaneous
These Terms, the Privacy Policy, and any signed campaign contract are the entire agreement for the Service. If a campaign contract conflicts with these Terms on payment amount, dates, or creative obligations between advertiser and creator, the campaign contract controls as between those parties; these Terms still control your relationship with SawItOn. If a provision is unenforceable, the remainder stays in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, or sale of assets. Notices to you may be sent to your account email. Force majeure excuses performance delayed by events beyond reasonable control. Our failure to enforce a provision is not a waiver.
Export and sanctions. You represent that you are not prohibited from using the Service under U.S. or other applicable export-control or sanctions laws.
